Gentry Media LLC - Terms of Service

1. Acceptance of Agreement (No Signature Required)

No physical or electronic signature is required to enter into this Agreement.

Client agrees to these Terms through any of the following actions:

• Approving a proposal, estimate, or invoice
• Submitting payment (partial or full)
• Requesting work to begin
• Allowing work to proceed
• Accessing or using any deliverables
• Continuing services with Gentry Media

These actions constitute full legal acceptance of this Agreement and create a binding contract.

2. Scope of Services

Gentry Media provides professional digital services including, but not limited to:

• Custom-coded website design and development (no templates)
• API integrations and software systems
• Marketing funnels, automations, and CRM integrations
• Analytics dashboards and reporting systems
• Hosting, maintenance, and technical support

All services are provided based on defined project scope. Any work outside the agreed scope will require additional approval and may incur additional charges.

3. Project Scope & Change Requests (Scope Creep Protection)

All projects are limited to the agreed scope outlined in writing.

• Any revisions, additions, or changes beyond scope will be billed separately
• Gentry Media reserves the right to pause work until scope changes are approved
• Verbal requests or informal messages may still constitute scope changes

Failure to define scope changes does not obligate Gentry Media to perform additional work without compensation.

4. Payments, Fees & Billing

• All pricing is disclosed prior to work beginning
• Projects may require a deposit and milestone-based payments
• All payments are non-refundable unless explicitly stated otherwise
• Late or missed payments may result in:
  • Suspension of services
  • Delayed delivery
  • Termination of agreement

Gentry Media reserves the right to charge late fees or collections costs where applicable.

5. Hosting, Infrastructure & Platform Control

Required Hosting

Unless otherwise agreed in writing:

• All projects are hosted and managed by Gentry Media
• Hosting is required to maintain performance, security, and support

Hosting Plans

• Hosting Only: $35/month
• Hosting + Maintenance: $49/month

Failure to pay recurring fees may result in immediate suspension.

Third-Party Hosting

• External hosting must be approved before development begins.
• Gentry Media may decline third-party environments that introduce risk or inefficiency.

6. Domains & Third-Party Services

• Domain names are controlled by third-party registrars
• Pricing, availability, and renewals are outside of Gentry Media's control
• Gentry Media is not liable for third-party outages, API failures, or service interruptions

7. Custom Development & API Disclaimer

Client acknowledges that:

• Custom-built systems may rely on third-party APIs or services
• These integrations may change, break, or become unavailable without notice
• Gentry Media is not responsible for failures caused by third-party systems

Ongoing maintenance or fixes due to external changes may require additional billing.

8. No Performance Guarantees

Gentry Media makes no guarantees regarding:

• Revenue, leads, or sales
• SEO rankings or ad performance
• Conversion rates or business outcomes

All projections, examples, or past results are illustrative only.

9. Client Responsibilities

Client agrees to:

• Provide accurate and lawful content
• Own or have rights to all submitted materials
• Respond in a timely manner for approvals and feedback

Delays caused by the Client may result in timeline extensions and additional fees.

10. Intellectual Property

• Gentry Media retains ownership of all internal systems, frameworks, and development methods
• Client receives a non-transferable license to use deliverables for business purposes
• Full ownership transfer must be agreed to in writing and may require additional payment

11. Chargebacks & Payment Disputes

Client agrees not to initiate chargebacks without first contacting Gentry Media to resolve the issue.

Any chargeback or payment dispute may result in:

• Immediate termination of services
• Revocation of access to deliverables
• Legal action to recover funds, fees, and damages

12. Limitation of Liability

To the fullest extent permitted by law:

• Gentry Media is not liable for indirect, incidental, or consequential damages
• Total liability is limited to the amount paid in the three (3) months prior to any claim

13. Indemnification

Client agrees to indemnify and hold harmless Gentry Media from any claims, damages, or legal actions arising from:

• Client's business operations
• Website content or marketing practices
• Use or misuse of services

14. Termination of Services

Gentry Media may suspend or terminate services at any time due to:

• Non-payment
• Misuse of services
• Legal or reputational risk

All outstanding balances remain due upon termination.

15. Continuing Services (Auto-Renewal)

Any recurring services (including hosting, maintenance, or retainers) will continue automatically on a month-to-month basis unless canceled.

• Client may cancel by providing notice prior to the next billing cycle.
• No refunds will be issued for partial billing periods.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Indiana.

17. Modifications

Gentry Media reserves the right to update these Terms at any time.

Continued use of services constitutes acceptance of any updated Terms.

18. Entire Agreement

These Terms represent the entire agreement between Client and Gentry Media LLC and supersede all prior discussions or agreements.
